Terms of Service
These Terms of Service ("Terms") are entered into by and between you ("Client," "you," or "your") and Darkless LTD, a limited company registered in the United Kingdom ("DarkInfra," "we," "us," or "our"). Our principal place of business is located in London, UK.
DarkInfra is our brand name for providing system administration and related infrastructure support services. By using or purchasing our services, you agree to be bound by these Terms in full. If you do not agree, please refrain from using our services.
Scope of Services: DarkInfra provides comprehensive system administration and infrastructure support, including:
- Server setup, maintenance, and configuration
- Panel setups (e.g., Pterodactyl, other self-hosted control panels)
- Infrastructure monitoring (using tools like Grafana and Prometheus)
- Security implementation and performance optimization
- 24/7 urgent technical support and ongoing troubleshooting
Prohibited Services: We do not support or install leaked/cracked plugins, nor do we deploy plugins known to be malicious or dangerous. Additionally, we do not offer mail server setups due to complexity and security risks.
Add-On Backups: While backups can be provided as an additional paid service, you remain responsible for the integrity and availability of your own backups unless otherwise specified in your agreement.
Accepted Payment Method: We currently only accept PayPal for all transactions. No other payment gateways or methods are supported.
Billing Cycle: Services are billed either monthly or annually, depending on the Client’s selection or agreement. Invoices are typically issued on or before the start or renewal date.
Invoice & Late Fees: If payment is not received within three (3) days past the due date, a 10% late fee may be applied to the outstanding balance.
Refund & Guarantee Policy: New Clients have a 48-hour window from the start of service to request a cancellation or refund. After this period, fees are generally non-refundable. Add-on services, such as backups, are also non-refundable once rendered.
Credentials & Access: You agree to provide accurate and updated server credentials, ensuring DarkInfra can access your systems for configuration and troubleshooting. All credentials are securely stored within our Passbolt instance.
Backup Approach: Unless you purchase our backup add-on service, you assume primary responsibility for maintaining data backups. We disclaim liability for data loss if a backup add-on was not purchased or if you maintain inadequate backups.
Accurate Information: You agree to promptly update any changes to your contact information or PayPal details to ensure uninterrupted service and billing.
24/7 Availability for Urgent Issues: We provide round-the-clock on-call support for high-priority incidents, such as severe server outages or security breaches.
Out-of-Scope / Remote Hands Requests: Tasks that exceed standard system administration (e.g., major hardware reconfigurations) may incur extra fees or require additional time. We will inform you before proceeding with such requests.
Communication Channels: Our primary support channel is Discord. Please use the designated server channel for general support, and only send direct messages for confidential details like passwords.
Third-Party Tools & Hosting: We use and self-host tools such as Grafana, Prometheus, Passbolt, and Invoice Ninja, and may rely on services like Cloudflare and Tailscale. DarkInfra does not control these providers and is not liable for their performance or potential downtime.
Service Recommendations: Any external vendor or hosting recommendation is made in good faith. We disclaim responsibility for the vendor’s performance or reliability.
Custom Scripts & Software: Unless otherwise agreed, any scripts or software developed by DarkInfra remain our intellectual property. We grant you a revocable, non-exclusive license to use them during the term of our engagement. A buy-out can be negotiated depending on the scope of work.
Showcasing Work: We do not publicly showcase your infrastructure or server details without explicit written permission. You reserve the right to decline any requests for promotional use.
Data Collection: We collect minimal personal data—primarily your name, email address, and PayPal information—along with relevant system credentials. This data is used solely for service provision and improvement.
Security Measures: Credentials are maintained within Passbolt, an encrypted password management system, and administrative network access is restricted using Tailscale VPN. While we follow industry best practices, no system is immune from breach.
No Liability for Data Loss: DarkInfra is not responsible for data corruption, breaches, or losses due to factors beyond our control, including force majeure or external service vulnerabilities.
No Warranty: Our services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service and disclaim all implied warranties to the fullest extent permitted by law.
Limitation of Liability: To the maximum extent permitted under UK law, DarkInfra shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data. In any event, our total cumulative liability shall not exceed the fees paid by you in the three (3) months preceding the claim.
DDoS & Security Incidents: While we may offer or recommend DDoS protection services, you acknowledge that malicious attacks may still occur, and we cannot be held liable for such events.
Cancellation by Client: Provide at least fourteen (14) days’ written notice before your next billing cycle to avoid additional charges. Failure to do so may result in being charged for the upcoming period.
Immediate Termination: We reserve the right to suspend or terminate services immediately if you engage in abuse or harassment of our staff, maintain unresolved payment disputes, or engage in any illegal uses of our services.
Post-Termination Data: Upon termination, if all invoices are settled, we will coordinate transferring any relevant data to you. We are not responsible for maintaining your environment once services are terminated.
Good-Faith Resolution: Both parties agree to attempt an amicable resolution through direct communication before taking legal action.
Jurisdiction: Any disputes shall be governed by and construed in accordance with the laws of England and Wales, and all litigation will be conducted in the United Kingdom.
Official Notifications: Announcements regarding material changes to these Terms will be posted in our Discord server or sent via email.
Acceptance of Changes: Continued use of our services after notification of modifications signifies your acceptance of the revised Terms.
Nothing in these Terms is intended to create a partnership, joint venture, or employment relationship between DarkInfra and you. Each party is an independent contractor.
Entire Agreement: These Terms, together with any additional written agreements (such as Privacy Policies or specific Service Orders), represent the entire agreement between DarkInfra and you, superseding any prior understandings or agreements.
Severability: If any provision is deemed unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Failure to enforce any part of these Terms does not constitute a waiver of the right to enforce that part in the future.
Force Majeure: DarkInfra is not liable for delays or failures due to events beyond our reasonable control, including natural disasters, power outages, or third-party interruptions.
